The agreement between you and Rapio, LLC. Short, and written to be read rather than skipped.
These terms apply when you use Rapio. By creating an account you agree to them. If you are agreeing on behalf of a company, you confirm you are allowed to.
Rapio is software for planning, sending and measuring WhatsApp marketing messages through Meta's WhatsApp Business Cloud API. We provide the software. We do not provide the messaging itself. That comes from Meta, under your own WhatsApp Business Account.
You connect your own WhatsApp Business Account and attach your own payment method to it. Meta charges you for the messages directly. Rapio never sees that money and adds nothing per message.
What you pay us is the subscription, and nothing else. Costs shown in the product are our own calculation from Meta's rates; they are close, but Meta's invoice is the authority.
Each plan includes a number of delivered messages per period, shared across every workspace and WhatsApp Business Account on the plan.
Subscriptions renew automatically each period until canceled. Canceling stops the next renewal; the current period is not refunded, because the allowance for that period was made available to you.
This is the part that matters most, because the consequences land on your account rather than ours.
Consent. You may only message people who agreed to hear from you. WhatsApp does not check this at send time; what happens instead is that people block or report the message, your quality score drops, Meta pauses your templates, and if it continues Meta restricts the account. Rapio enforces opt-outs automatically once they happen, but it cannot create consent you did not collect.
Your content. The messages, the media and the lists are yours. You confirm you have the right to use them and that they do not break the law or Meta's policies.
Meta's rules. Using Rapio does not exempt you from the WhatsApp Business Messaging Policy and Meta's Commerce Policy. Those apply to you directly.
Local law. Marketing consent rules differ by country. In Turkey, for example, commercial electronic messages fall under İYS. Meeting those obligations is yours.
We will provide the service with reasonable skill and care, and we will tell you about planned interruptions in advance.
We do not control Meta. If Meta rejects a template, pauses one, restricts your account, changes its pricing or has an outage, that is outside our control. We will surface it in the product with the reason and the way out, but we cannot overturn it.
We do not guarantee that a message will be delivered, read or clicked. Those depend on the recipient, on their phone and on Meta.
How we handle personal data is set out in the Privacy Policy, which forms part of these terms. In short: your customers' data is yours, we process it on your instructions, and we delete it when you ask.
Your content stays yours. We do not use it to train models, and we do not share it with anyone other than the providers needed to run the service.
You can stop using Rapio at any time. Deleting a workspace takes effect after a seven day pause, during which you can reverse it.
We may suspend an account that is not paid for, that breaks section 5, or that puts other customers at risk. Except where the law or an immediate risk prevents it, we will tell you first and give you a chance to fix it.
When the relationship ends, your WhatsApp Business Account stays with you. It is yours, on Meta's side; we only disconnect from it.
To the extent the law allows, Rapio is not liable for indirect or consequential loss, including lost profit, lost business or lost data. Our total liability in any twelve month period is limited to what you paid us during that period.
Nothing here limits liability that cannot be limited by law.
If we change these terms in a way that affects you, we will email you at least thirty days before the change takes effect. Continuing to use the service after that means you accept the new terms; if you do not, you can cancel.
These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. Disputes go to the state or federal courts located in Delaware.
